1. Prospective members may apply to become members of the Society according to the following:

(i) The Vice-President and Secretary of the Society will be responsible for maintaining a list of members. The Vice-President and Secretary will arrange for individual members to find out what information is held on them by the Society. Members are responsible for ensuring that the information held on them by the Society is accurate. Information on individual members will not be disclosed without the member's permission. 

(ii) Anyone may apply to join the Society by registering online on the Society web site and paying the CSS registration fee.

(iii) Alternatively, participants to the Conference on Complex Systems (organized on behalf of the CSS) might also become members of the CSS for the period between two consecutive Conferences if they activate their membership and have paid the registration fee for the whole conference.

(iv) The Vice-President and Secretary may refuse membership without giving any reasons. In this case the prospective member has the right to appeal to the Council, whose decision will be final.

(v) Members of the Society are responsible for updating their personal Member's profile information, and they are expected to do this for the benefit of the community.

3. The Vice-President and Secretary may recommend to the Executive Committee that a member be expelled from the Society. The Secretary will inform the member of the decision. The expelled member may appeal to the Council within three months of being notified of the decision to have the case reviewed at its meeting. The appeal must be sent to the Vice-President and Vice-President and Secretary who will put it on the Agenda of the next meeting of Council. The decision of the Council is final. The Vice-President and Secretary will inform the member of the decision of the Council.

4. Yearly membership fees are by the categories:

€ 20 per year for students, the retired and the unwaged,
€ 30 per year for postdocs,
€ 50 per year for other academic staff, and workers in non-profit organisations,
€110 per year for others.

The Membership Committee is delegated by Council to receive requests for reduced membership fees or to have fees waived. The Membership Committee will decide each case on its merits. Its decisions will be binding and there is no appeal. The decisions of the Membership Committee will be reported to the Executive Committee.

5. Members failing to pay the annual registration fee have their membership withdrawn automatically. They can become members again by paying the registration fee online.

6. The Vice-President and Secretary will organise all ballots required by the Council or the Executive Committee using the Society's web site.

(i) The Vice-President and Secretary will announce all ballots at least one month before the closing date of the ballot.

(ii) The Vice-President and Secretary will organise the procedures for counting the votes. The procedures will be published at the same time as the ballot announcement.

(iii) The Vice-President and Secretary will arrange for the results of any votes to be published on the Society's web site the day after the ballot closing date.

(iv) The voting software used by the society will be open to inspection. The President will ask a competent member of the Society to report each year in the integrity of the software used for voting and any procedures using voting software.

(v) All complaints about ballots, procedures, and results may be made after an interval of one week to the Vice-President and Secretary who must communicate them without alteration to the Council. The Council will decide on any action to be taken. The decisions of the Council will final. They will be published on the Society's web site.

(i) The number of members of the Council will be at most 3X. X=19, with a 3-year mandat.

(ii) The Executive Committee is composed by the President, the Vice-President and Secretary, the Vice-President and Treasurer and 12 members, with a 3-year mandate.

(iii) The 'Founders of the Society' shall mean Paul Bourgine, Mina Teicher, and Jeffrey Johnson.

(i) The Vice-President and Secretary will arrange for Council elections to be held every year. Council members will be obliged to resign or present themselves for re-election every three years. Thus one third of the seats will be change each year.

(ii) 19 Council members will be elected every year to replace those who complete their 3-year term.

(iii) After the elections for a given year, and the election for the President, Vice Presidents and Executive Committee, the Executive Committee might co-opt two members of the Society to the Council in order to maintain geographical, gender or minority balance through time.

(iv) The Vice-President and Secretary will announce on the Society's web site that election are forthcoming two months before they are due, and will accept nominations for prospective members of Council until one month (30 days) before the election.

(v) Any Member may propose to the Vice-President and Secretary that any other Member be a candidate in an election. If that person agrees to be a candidate the Vice-President and Secretary will add that person to the list of candidates for the election.

(vi) The election date and candidates will be announced at least one month before the opening of the ballot.

(vii) Candidates will be able to post their manifesto on the Society's web site, by providing a text of no more than 600 words to the Vice-President and Secretary. The Vice-President and Secretary will post all such manifestos on web site. The order of placement will be random to avoid bias.

(viii) A council member may be re-elected provided that their consecutive service does not exceed six years.

(ix) If there are X new members of the Council, the places will be filled by the X candidates with the highest number of votes.

(x) if there is a tie for the last of the X places with candidates having equal numbers of votes, the Vice-President and Secretary will arrange an open and fair lottery to choose the appropriate number of people by chance.

(xi) if less than X people come forward for as candidates, no vote will be held, and they will all be declared to be elected unopposed to become members of the Council.

4. The quorum of the Council shall be 50% of its members. If less than 50% of Council members attend a scheduled meeting at its published time, the meeting shall be delayed for half an hour. On resuming the meeting after half an hour, the meeting will be quorate irrespective of how many Council members are present.

5. Decisions of the Council will be by simple majority of votes cast, except for modification of the Statutes requiring a two-third majority of those voting.

(i) All 12 members of the Executive Committee are elected to the Executive Committee for three years. They will be ex-officio members of the Council during their three-year tenure. In addition, the chair of the Young Researchers of the Complex Systems Society (yrCSS) advisory board is an ex-officio member of the Executive Committee.

(ii) 4 Executive Committee members will be elected every year to replace those who complete their 3-year term.

(iii) The President will be Chair of the Executive Committee and of the Council.

(iv) The President will be elected one year before his tenure. During this year the elected president can be present in all EC activities without voting rights.

(v) It is elected President the candidate with higher number of expressed ballots. The same rule applies to the election of the Vice-Presidents. In case of ex-aequo a second voting will be organized between the ex-aequo candidates who have had the highest number of expressed ballots and the same rules apply for this voting round. If there is no winner for this second round and the candidates with the highest number of expressed ballots are still ex-aequo, successive voting rounds are organized with the same rules until one candidate wins.

(vi) The incumbent Vice-President and Secretary will arrange an election by the Council for all vacant positions. The Candidates to Executive Committee member must be members of the Council.

(vii) The vacant positions will be voted in the chronological order of President, Vice President and Secretary, Vice President and Treasurer, Executive Committee Member. A successful candidate can only hold one of these positions, and once elected is not eligible to stand for any remaining positions. An unsuccessful candidate for one of the positions may stand in a subsequent election for a remaining position.

The Executive Committee must meet at least once per year.

The Vice-President and Secretary shall inform all members of the Executive Committee at least thirty days in advance of forthcoming meetings.

For matters that cannot wait until the next meeting of the Executive Committee, an electronic vote will be held. Matters requiring urgent resolution will be handled by the President and Vice Presidents. Such actions will be reported to Executive Committee by email.
